PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY GOVERN YOUR USE OF THE SITE AND YOUR PURCHASE OF PRODUCTS FROM ALEKO. THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 21) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 21 CAREFULLY.

1. Acceptance of Terms

These Terms and Conditions (the "Terms") are a binding agreement between VBN SALES LLC, a Washington limited liability company ("ALEKO," "Company," "we," "us," or "our"), and you, the individual or entity accessing or using our website, mobile applications, or services ("you" or "your"). These Terms govern your access to and use of the website located at www.alekoproducts.com and any related subdomains (the "Site"), the products available for purchase through the Site (the "Products"), and all related services we provide (collectively, the "Services").

BY (a) ACCESSING OR USING THE SITE, (b) CREATING AN ACCOUNT, (c) CHECKING THE "I AGREE" BOX AT CHECKOUT OR REGISTRATION, OR (d) PLACING AN ORDER, YOU REPRESENT THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS (available at www.alekoproducts.com/terms/) AND OUR PRIVACY POLICY (available at www.alekoproducts.com/our-privacy-policy), WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SITE OR PURCHASE PRODUCTS.

2. Definitions

In addition to terms defined elsewhere in these Terms, the following capitalized terms have the following meanings:

  • "Applicable Law" means all laws, statutes, regulations, ordinances, and rules of any governmental authority with jurisdiction.
  • "BOL" means Bill of Lading.
  • "Content" means all text, images, graphics, audio, video, software, data, and other materials available through the Services.
  • "LTL" means Less-Than-Truckload freight shipping.
  • "Order" means a request submitted through the Site to purchase one or more Products.
  • "User Content" means any Content submitted, uploaded, transmitted, or otherwise made available by a user through the Services, including product reviews, photographs, and comments.

3. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract to purchase Products or create an account. Users between the ages of thirteen (13) and seventeen (17) may access and browse the Site only with the involvement and consent of a parent or legal guardian, who will be solely responsible for all activity on the Site. The Site and the Services are not directed to, and we do not knowingly collect personal information from, children under the age of thirteen (13). If we learn that we have collected personal information from a child under 13, we will delete that information promptly.

4. Account Registration

Certain features of the Services may require you to register for an account. If you create an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; and (c) maintain the security and confidentiality of your password and other credentials. You must notify us immediately of any unauthorized use of your account at customer@aleko.com. You are liable for all activity that occurs under your account, authorized or not, until you notify us.

5. Orders, Pricing, and Payment

5.1 Pricing

All prices are stated in U.S. dollars and are subject to change without notice. Prices, sales, and promotions on the Site apply only to purchases made through the Site. We do not honor coupons or promotions from other websites and do not price-match competitors. Current coupons and promotions cannot be applied retroactively to previous Orders, and expired coupons cannot be applied to current or future Orders.

5.2 Payment Methods

We accept the payment methods listed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and authorize us (or our payment processor) to charge the total Order amount, including applicable taxes and shipping. Payment by check is accepted, but Orders paid by check will not ship until the check has cleared, typically 7 business days. We may extend this period if your bank requires additional time to process the check or if we have reason to suspect a payment issue.

5.3 Typographical Errors and Order Acceptance

In the event a Product is mistakenly listed at an incorrect price, or the Product description, image, or availability is incorrect due to typographical, technical, or other error, we reserve the right to refuse or cancel any Order placed for such Product, whether or not the Order has been confirmed and your payment method has been charged. If your payment method has already been charged and your Order is canceled, we will issue a refund in the full amount charged. We reserve the right, at our sole discretion, to refuse or cancel any Order for any lawful reason, including suspected fraud or violation of these Terms.

5.4 Fraud Prevention

We use industry-standard fraud-prevention tools, including address verification (AVS), card verification value (CVV) checks, and other automated screening. We may request additional verification or documentation before processing or shipping an Order. If we are unable to verify the legitimacy of an Order, we reserve the right to cancel the Order and refund any amounts charged.

6. Shipping and Delivery

The operational rules governing shipping, including transit times, carrier selection, LTL/freight procedures, curbside delivery, inspection at delivery, and damage reporting timelines, are set forth in our Shipping Policy at www.alekoproducts.com/shipping-policy/, which is incorporated by reference. This Section 6 sets forth the legal allocations between you and ALEKO that govern shipping and delivery; in the event of a conflict between this Section 6 and the Shipping Policy, this Section 6 controls.

6.1 Shipping Generally

We offer free ground shipping on all Orders to addresses within the contiguous United States, as further described in the Shipping Policy. Additional charges, delivery restrictions (including the exclusion of P.O. Boxes), and origin/destination limitations are set forth in the Shipping Policy. Where additional charges apply to an Order after submission, ALEKO will provide an updated quote for your approval before shipment; if the additional charge is not approved, the Order may be cancelled and any amounts charged refunded. Estimated delivery times are approximate and not guaranteed. We are not liable for delays caused by carriers, weather, acts of God, or other circumstances outside our reasonable control.

6.2 Risk of Loss

Title and risk of loss for Products pass to you upon delivery to the address you provide. This rule applies to all shipments, including ground parcel, LTL/freight, expedited, and international shipments.

6.3 LTL/Freight Shipping

We reserve the right to select the carrier for any shipment. For LTL/freight shipments, you (or your authorized representative) must be present at the scheduled time of delivery and are responsible for inspecting the exterior condition of the shipment in the presence of the delivery driver and for noting any visible damage to the packaging on the carrier's delivery receipt or Bill of Lading ("BOL") before signing. If you are not present at the scheduled delivery, you are responsible for any re-delivery, storage, or related fees assessed by the carrier. The complete LTL inspection and delivery procedure is set forth in the Shipping Policy.

FAILURE TO NOTE VISIBLE DAMAGE ON THE BOL AT THE TIME OF DELIVERY MAY LIMIT OUR ABILITY TO PROCESS A CLAIM FOR THAT DAMAGE. CONCEALED DAMAGE NOT DISCOVERABLE THROUGH REASONABLE INSPECTION AT DELIVERY MUST BE REPORTED TO US WITHIN THREE (3) BUSINESS DAYS OF DELIVERY, ALONG WITH PHOTOGRAPHIC EVIDENCE, IN ORDER TO BE ELIGIBLE FOR A CLAIM. YOU MUST ALSO REPORT THE DAMAGE TO THE CARRIER WITHIN TWENTY-FOUR (24) HOURS WITH PHOTOGRAPHS AND FORWARD A COPY OF THAT REPORT TO US AT ltlshipping@aleko.com.

6.4 Ground Shipment Claim Window

For ground shipments (FedEx, UPS, USPS, and similar parcel carriers), you have thirty (30) days from the delivery date to report shipping-related issues to ALEKO, including damaged, missing, or incorrect Products. Reports should be sent to hello@aleko.com and include the Order number, photographs of the issue, and a description of the problem. Claims reported after the 30-day window may not be eligible for resolution.

6.5 Undeliverable or Refused Packages and Address Changes

If a package is returned to us as undeliverable due to an incorrect address, refused delivery (other than refusal due to documented damage), or repeated failure to be present for a scheduled freight delivery, we may charge you for return shipping and any associated carrier fees, and the Order will be processed as a return under our Return and Warranty Policy. If you request a change of delivery address after an Order has shipped from our facility, you are responsible for any reconsignment fees charged by the carrier.

7. Returns, Refunds, and Cancellations

Returns, refunds, cancellations, and warranty claims are governed by our Return and Warranty Policy at www.alekoproducts.com/return-and-warranty-policy/, which is incorporated by reference. Except as required by Applicable Law or as expressly set forth in the Return and Warranty Policy, in the case of an Order cancellation initiated by you after the Order has shipped, you are responsible for return shipping costs, restocking fees, and non-refundable third-party costs incurred by us, as set forth in the Return and Warranty Policy. In the event of a conflict between this Section 7 and the Return and Warranty Policy, this Section 7 controls.

8. Product Use, Installation, and Safety

8.1 Proper Use and Compliance

All Products must be used, installed, operated, and maintained strictly in accordance with the applicable product manuals, safety instructions, specifications, and warnings provided by ALEKO or the manufacturer. Failure to follow the provided instructions may result in property damage, serious injury, or death, and constitutes misuse of the Product.

8.2 Assembly and Installation

You are solely responsible for ensuring that all Products are properly assembled and installed. Professional installation is strongly recommended for Products requiring electrical, structural, or plumbing connections, including but not limited to saunas, heaters, and cold plunge systems. Any installation not performed in accordance with ALEKO's guidelines, the manufacturer's instructions, applicable building codes, or industry standards is considered improper installation. To the fullest extent permitted by Applicable Law, ALEKO shall not be liable for any damages, failures, or injuries resulting from improper assembly or installation.

Where ALEKO arranges for installation through an independent contractor, the independent contractor status of the installer will not change the price you pay or the quality or extent of any warranties applicable to such labor. Damage to the Product or your premises caused by installation must be reported to us by phone and in writing within three (3) business days of installation.

8.3 Unauthorized Modifications

Any modification, alteration, or customization of a Product that is not expressly authorized in writing by ALEKO is prohibited. Prohibited modifications include, without limitation:

  • Electrical modifications or rewiring;
  • Structural changes or reinforcements;
  • Use of non-approved parts or accessories that cause or contribute to a defect or failure;
  • Alteration of safety features or components.

To the fullest extent permitted by Applicable Law, ALEKO assumes no liability for any damages, injuries, or losses arising from unauthorized modifications.

8.4 Misuse and Improper Operation

Use of Products in a manner inconsistent with their intended purpose or instructions constitutes misuse. Examples of misuse include, without limitation:

  • Operating Products outside specified environmental, load, or capacity limits;
  • Ignoring safety warnings or operating instructions;
  • Using Products for commercial purposes when they are designated for residential use only (or vice versa);
  • Improper water, electrical, or maintenance practices.

To the fullest extent permitted by Applicable Law, you assume all liability for damages or injuries resulting from misuse.

8.5 Assumption of Risk

By purchasing, installing, or using any Product, you acknowledge and agree that, to the fullest extent permitted by Applicable Law: (a) you assume all risks associated with improper installation, modification, or misuse; (b) you are responsible for ensuring safe operation of the Product; and (c) you release ALEKO from liability arising from your actions not in compliance with the provided instructions.

8.6 Compliance with Laws and Codes

You are responsible for ensuring that installation and use of Products comply with all Applicable Law, including local, state, and federal building, electrical, plumbing, and zoning codes. Obtaining any required permits, inspections, or approvals is your responsibility.

8.7 Third-Party Alterations

ALEKO shall not be responsible for any modification, alteration, or change made to a Product after the point of sale or outside ALEKO's control. Any such modification by a third party, including any contractor, property owner, operator, or service provider, transfers full responsibility and liability for the consequences of that modification to the party performing it.

8.8 Documentation for Claims

To process warranty, damage, or other claims, we may request: (a) photographic and/or video evidence of installation and Product condition; (b) proof of proper assembly and installation; (c) proof of purchase and Product identification; and (d) any other documentation we reasonably require. Failure to provide requested documentation within a reasonable period may result in denial of the claim.

9. Product Warranties

Except as expressly set forth in a written limited warranty provided with the Product or in a separate written warranty document published on the Site (each, a "Limited Warranty"), Products are sold AS IS, and ALEKO makes no representations or warranties of any kind with respect to the Products, whether express, implied, statutory, or otherwise. To the fullest extent permitted by Applicable Law, ALEKO disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any implied warranties that cannot be disclaimed under Applicable Law are limited in duration to the Warranty Period. Some states do not allow the exclusion of certain implied warranties, so the foregoing exclusions may not apply to you in their entirety.

Any Limited Warranty is the sole and exclusive warranty provided with the Product and is provided only to the original retail purchaser. Limited Warranties are subject to the terms, conditions, exclusions, and procedures stated in the Limited Warranty document. To the fullest extent permitted by Applicable Law, the following will void the Limited Warranty: (a) modifications or repairs not authorized in writing by ALEKO that cause or contribute to the defect or failure; (b) improper installation, assembly, or maintenance that causes or contributes to the defect or failure; (c) use of non-approved parts or accessories that cause or contribute to the defect or failure; or (d) misuse, abuse, or use contrary to the product manual.

10. Intellectual Property

10.1 Site Content

All Content on the Site, including text, graphics, images, photographs, videos, software, and code, is the property of ALEKO or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The Site, as a compilation of Content, is copyrighted as a collective work. © 2003–2026 VBN Sales LLC. All rights reserved.

10.2 Trademarks

ALEKO® and the ALEKO logo, together with the other trademarks, service marks, and trade names displayed on the Site, are trademarks or registered trademarks of ALEKO or its affiliates. Other trademarks displayed on the Site are the property of their respective owners. You may not use any of these marks without the prior written consent of the owner.

10.3 Limited License

Subject to your compliance with these Terms, ALEKO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for the purpose of browsing, placing Orders, and reviewing Order history. You may make a limited number of copies of pages of the Site solely for your personal, non-commercial purposes in connection with placing or evaluating Orders. Any other use, including reproduction, modification, distribution, public display, or transmission of Content, is strictly prohibited without our prior written consent. You may not remove or alter any proprietary notices on any Content.

10.4 Feedback

If you submit suggestions, ideas, reviews, or other feedback about the Site or the Products, you grant ALEKO a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, and exploit such feedback for any purpose, without compensation or attribution.

11. User Conduct and Acceptable Use

You agree not to use the Services to:

  • Harass, threaten, defame, abuse, or stalk any person, including via email, chat, comment, or review;
  • Impersonate any person, including any ALEKO employee, host, or representative, or any other user;
  • Submit, upload, distribute, or publish Content that is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, harmful to minors, or otherwise objectionable, or that may constitute or encourage criminal conduct or violate any law;
  • Submit commercial content or solicit users to join any commercial service or organization;
  • Upload or transmit any viruses, worms, Trojan horses, time bombs, or other harmful code;
  • Attempt to gain unauthorized access to any portion of the Services or any related systems or networks;
  • Use any automated means (including bots, scrapers, or crawlers) to access the Services except for legitimate search-engine indexing;
  • Interfere with or disrupt the Services or the servers or networks that host the Services;
  • Use the Services in any manner that violates Applicable Law.

12. User Content

By submitting User Content to the Services (for example, by posting a product review), you grant ALEKO a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Services and ALEKO's business. You represent and warrant that (a) you own or control all rights in and to the User Content you submit, (b) the User Content does not violate these Terms or Applicable Law, and (c) the User Content does not infringe or violate the rights of any third party.

ALEKO does not review all User Content and is not responsible for User Content. ALEKO acts only as a passive conduit for the distribution of User Content. ALEKO reserves the right, but has no obligation, to monitor, edit, refuse, or remove User Content that it determines, in its sole discretion, to be (a) abusive, defamatory, obscene, or unlawful; (b) fraudulent, deceptive, or misleading; (c) in violation of intellectual property rights; or (d) otherwise unacceptable.

13. DMCA Notice and Takedown

ALEKO respects the intellectual property rights of others and expects users to do the same. If you believe that User Content posted on the Site infringes your copyright, please send a notice that complies with 17 U.S.C. § 512(c)(3) to our designated DMCA Agent:

A valid DMCA notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and reasonably sufficient information to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner. Misrepresentations in a DMCA notice may result in liability under 17 U.S.C. § 512(f). It is ALEKO's policy to terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

14. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by ALEKO. ALEKO has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party site. You access third-party sites at your own risk. We encourage you to review the terms and privacy policies of any third-party site you visit.

15. SMS/MMS Mobile Messaging Program

ALEKO offers a mobile messaging program (the "Program") governed by this Section. By opting in to or participating in the Program, you agree to these terms in addition to the rest of these Terms.

15.1 Opt-In and Consent

You can opt in to the Program through online or in-store enrollment forms or by texting the keyword we provide to the designated short code. By opting in, you consent to receive recurring autodialed or prerecorded marketing messages from us at the mobile number you provide. Consent is not a condition of any purchase. Message and data rates may apply.

15.2 Opt-Out

To stop receiving messages, reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message from us. You may receive a confirmation message. These reply keywords are the only reasonable means of opting out; other methods (such as verbal requests to employees or emails) are not reasonable methods of opting out under these Terms. For help, reply HELP to any message, or contact us at hello@aleko.com.

15.3 Cost, Frequency, and Carrier Disclaimer

Message and data rates may apply. Message frequency varies based on your activity and may include recurring marketing messages. Delivery is subject to your wireless carrier's transmission, which is outside our control. Wireless carriers are not liable for delayed or undelivered messages.

15.4 Duty to Notify of Number Changes

If you change or deactivate the mobile number you provided, you agree to opt out of the Program before doing so. You agree to be responsible for any costs or liabilities incurred by us or our service providers (including any Telephone Consumer Protection Act claims under 47 U.S.C. § 227 et seq., or similar state or federal laws) arising from your failure to notify us of the change.

15.5 Eligibility

You may not use the Program if you are under the age of thirteen (13). If you are between thirteen (13) and seventeen (17), you must have your parent's or legal guardian's permission to participate. You must have a wireless device capable of two-way messaging and a participating wireless carrier.

15.6 Prohibited Content

You agree not to send any of the following over the Program: (a) fraudulent, libelous, defamatory, threatening, harassing, or stalking content; (b) obscene, profane, or hateful content; (c) viruses, worms, or other harmful code; (d) content promoting unlawful activity; (e) content protected by the Health Insurance Portability and Accountability Act ("HIPAA") or the Health Information Technology for Economic and Clinical Health Act ("HITECH"); or (f) any content prohibited by Applicable Law.

15.7 Disclaimer of Warranty for the Program

The Program is provided AS IS and may not be available in all areas or at all times. We will not be liable for any delays or failures in the receipt of any messages. Disputes related to the Program are subject to the arbitration provision in Section 21.

16. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference. Please review the Privacy Policy to understand our practices regarding personal information.

17. Disclaimers Regarding the Site

THE SITE AND ALL CONTENT, MATERIALS, AND FUNCTIONALITY ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALEKO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

ALEKO does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. ALEKO makes no warranty regarding the accuracy, completeness, timeliness, or reliability of any Content on the Site. Some states do not allow the exclusion of certain warranties, so portions of the above may not apply to you.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALEKO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE PRODUCTS, EVEN IF ALEKO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALEKO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALEKO FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the foregoing limitations may not apply to you. Nothing in these Terms limits or excludes liability for fraud, gross negligence, willful misconduct, personal injury caused by ALEKO's negligence, or any other liability that cannot be excluded under Applicable Law.

19. Indemnification

You agree to indemnify, defend, and hold harmless ALEKO and its officers, directors, employees, agents, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of Applicable Law or the rights of any third party; (c) your User Content; (d) your improper installation, assembly, modification, or use of any Product; (e) any third-party alterations to any Product after sale; or (f) any activity related to your account, including negligent or wrongful conduct, by you or any person accessing the Site through your account. The foregoing does not apply to any claim to the extent it arises from the Indemnified Party's gross negligence, willful misconduct, or fraud. ALEKO reserves the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense.

20. Modifications; Termination

20.1 Modifications to the Terms

We may modify these Terms from time to time. The most current version will always be posted on the Site, with the "Last Updated" date at the top. Material changes will be communicated by reasonable means, which may include email, a notice on the Site, or a banner. Your continued use of the Site or placement of an Order after the effective date of a change constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site.

20.2 Termination

We may suspend or terminate your account or your access to the Services at any time, with or without notice, for any lawful reason, including violation of these Terms. Upon termination, the following provisions will survive: Sections 9 (Warranties), 10 (Intellectual Property), 12 (User Content), 17 (Disclaimers), 18 (Limitation of Liability), 19 (Indemnification), 21 (Dispute Resolution), 22 (Governing Law), and 24–31 (General Provisions).

21. Dispute Resolution; Mandatory Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH ALEKO THROUGH INDIVIDUAL ARBITRATION AND LIMITS YOUR ABILITY TO PARTICIPATE IN A CLASS ACTION. YOU HAVE A RIGHT TO OPT OUT OF THIS PROVISION AS DESCRIBED BELOW.

21.1 Informal Dispute Resolution

Before initiating arbitration, you and ALEKO agree to attempt to resolve any dispute informally for at least sixty (60) days. To begin informal resolution, you must send a written notice describing the dispute and your contact information to: VBN SALES LLC, Attn: Legal, 8307 S 192nd St, Kent, WA 98032. If the dispute is not resolved within sixty (60) days, either party may initiate arbitration.

21.2 Mandatory Arbitration

You and ALEKO agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Products (each, a "Dispute"), other than the Excluded Disputes below, will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted by a single arbitrator. If the value of your claim is $25,000 or less, the arbitration may be conducted by telephone, video, or written submission, at your election. Otherwise, the arbitration will be conducted in King County, Washington, or another mutually agreeable location. The arbitrator's award will be final and binding, subject only to review under the Federal Arbitration Act ("FAA").

21.3 Class Action and Jury Trial Waiver

YOU AND ALEKO AGREE THAT DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. THE ARBITRATOR HAS NO AUTHORITY TO CONSOLIDATE CLAIMS OR CONDUCT ANY CLASS PROCEEDING. YOU AND ALEKO WAIVE ANY RIGHT TO A JURY TRIAL. If a court determines that this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and all other claims will proceed in arbitration.

21.4 Excluded Disputes

The following are not subject to arbitration: (a) small-claims-court actions, provided they remain in small-claims court and are brought on an individual (non-class) basis; (b) actions to enjoin infringement or misuse of intellectual property; and (c) any claim that cannot be subject to arbitration as a matter of Applicable Law.

21.5 Opt-Out Right

You may opt out of this arbitration provision by sending written notice to VBN SALES LLC, Attn: Arbitration Opt-Out, 8307 S 192nd St, Kent, WA 98032 within thirty (30) days after you first agree to these Terms. The notice must include your name, address, email, and account information (if any) and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms.

21.6 Severability of Arbitration Provision

If any portion of this Section 21 is found unenforceable, that portion will be severed and the remainder will continue in effect, except that if the class-action waiver in Section 21.3 is found unenforceable as to a claim seeking public injunctive relief, that claim alone may proceed in court.

21.7 Federal Arbitration Act

This arbitration provision is governed by the FAA and evidences a transaction involving interstate commerce.

22. Governing Law and Venue

These Terms, and any Dispute not subject to arbitration, are governed by the laws of the State of Washington, U.S.A., without regard to its conflict-of-laws principles. The 1980 United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration provision in Section 21, any judicial action must be filed exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.

23. Limitation Period

To the extent permitted by Applicable Law, any Dispute or cause of action arising out of or relating to these Terms, the Site, or the Products must be commenced within one (1) year after the cause of action accrues, or it will be permanently barred.

24. California Consumer Notice

Under California Civil Code Section 1789.3, California residents are entitled to the following consumer-rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

25. Force Majeure

ALEKO will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, riot, civil disturbance, governmental action, labor disputes, shortages of materials or transportation, supplier failures, carrier delays, internet or utility outages, or cyberattacks.

26. Notices and Electronic Communications

We may deliver notices to you by email to the address you have provided, by posting a notice on the Site, or by other reasonable means. You may deliver notices to us at customer@aleko.com or to VBN SALES LLC, Attn: Legal, 8307 S 192nd St, Kent, WA 98032.

You consent to receive communications from us in electronic form (by email or by posting on the Site). You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. This consent is provided in accordance with the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and applicable state law. You may withdraw your consent to receive electronic communications by contacting us, but doing so may limit your ability to use the Services.

27. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this Section is void. ALEKO may assign these Terms, in whole or in part, without restriction and without notice to you.

28. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to render it valid, legal, and enforceable while preserving its intent.

29. Waiver

ALEKO's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. No waiver will be effective unless in writing and signed by an authorized representative of ALEKO.

30. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Return and Warranty Policy, and any other documents incorporated by reference, constitute the entire agreement between you and ALEKO regarding the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written. Capitalized terms used in the Privacy Policy, Shipping Policy, and Return and Warranty Policy have the meanings given in these Terms unless otherwise expressly defined in those documents. In the event of a conflict between these Terms and any other policy or document incorporated by reference, these Terms control. Neither course of conduct between the parties nor trade practice will modify these Terms.

31. Headings; Interpretation

Section headings are for convenience only and have no legal effect. "Including" and "include" mean "including without limitation.” References to dollar amounts are to U.S. dollars.
